By registering as a supplier, you agree to the following terms:

  This Seller Agreement (“Agreement”) is entered into between MCSQUAREX LLP, a company incorporated under the laws of India, having its registered office at North Street,Marthandam,KK Dist, Tamilnadu, India (“Platform”, “we”, “us”, or “our”), and the seller identified during account registration (“Seller”, “you” or “your”). By registering as a seller or listing products on our platform, you agree to be bound by the terms of this Agreement.
• 1. ENROLMENT & SELLER ACCOUNT
  1.1 To begin selling, you must complete our registration process and provide accurate information including legal name, address, GST details, PAN, bank account information, and any additional documents we may request.
  1.2 You represent that you are legally capable of entering into this Agreement under applicable Indian laws.
  1.3 You are responsible for maintaining accurate information in your account at all times and maintaining the confidentiality of your login credentials.
• 2. SERVICES PROVIDED BY THE PLATFORM
  2.1 The Platform enables Sellers to list and sell products directly to customers.
  2.2 When a customer places an order, we forward the order details to the Seller. The Seller fulfills and delivers the order directly to the customer.
  2.3 We collect payment from customers on the Seller’s behalf and remit the net amount to the Seller within 24 hours of order confirmation, subject to deductions described in this Agreement.
• 3. FEES & PAYMENTS
  3.1 The Platform will charge Sellers service fees, transaction fees, and other applicable charges as listed in the Platform Fee Schedule.
  3.2 We may revise the fee schedule with 15 days’ prior notice.
  3.3 Payment Settlement: For all delivered orders, we will transfer the Seller’s payable amount to their registered bank account within 24 hours of the order confirmation, after deducting:
  -Platform fees
  -Taxes applicable on our fees
  -Refunds or adjustments
  -Chargebacks or disputes
• 4. SELLER RESPONSIBILITIES
  4.1 Listing & Product Information: You must provide accurate product details, pricing (inclusive of all applicable taxes), shipping timelines, stock availability, and product images.
  4.2 Compliance with Laws: You must comply with all Indian laws, including consumer protection, GST, packaging & labeling, and any category-specific regulations.
  4.3 Order Fulfilment:
  -You are responsible for packing, shipping, and delivering all products.
  -Orders must be shipped within the timeline you display on the product page.
  -You must provide tracking details where applicable.
  -You must not cancel orders except under valid circumstances.
  4.4 You must ensure all products are genuine, legally sourced, and safe for sale.
• 5. RETURNS, CANCELLATIONS & REFUNDS
  5.1 You must handle and accept customer returns in accordance with the platform’s Return & Refund Policy.
  5.2 Refunds issued to customers will be adjusted from future payouts.
  5.3 If a product is defective, damaged, counterfeit, or otherwise non-compliant, the Seller is fully liable for refunds, returns, and any additional cost borne by the Platform.
• 6. TAXES
  6.1 You are solely responsible for collecting, reporting, and remitting all taxes applicable to your products under Indian law.
  6.2 Product prices listed by you must be inclusive of all applicable taxes.
  6.3 If required by law, we may deduct TDS/TCS from payments made to you and deposit it with the authorities.
• 7. INTELLECTUAL PROPERTY
  7.1 You grant us a non-exclusive, royalty-free licence to use your product images, trademarks, and content solely for showcasing your products on the Platform.
  7.2 You affirm that you have legal rights to all content and materials you upload.
• 8. INDEMNITY
  You agree to indemnify and hold harmless the Platform, its employees, and affiliates from any claims, damages, penalties, losses, or liabilities arising from:
  Your breach of this Agreement,
  -Your products, listings, or services,
  -Your violation of laws,
  -Consumer disputes caused by your products or actions.
• 9. LIMITATION OF LIABILITY
  Our aggregate liability arising out of this Agreement shall not exceed the total fees you paid to us in the last three months. We are not liable for consequential or special damages.
• 10. CONFIDENTIALITY
  Both parties agree to maintain confidentiality of all shared information, including customer data, business data, and payment details. Customer data may only be used for order fulfilment
• 11.TERM & TERMINATION
  11.1 This Agreement remains valid until terminated by either party.
  11.2 You may terminate your account at any time.
  11.3 We may suspend or terminate your account immediately if:
  -You violate this Agreement,
  -Engage in fraud or unlawful activity,
  -Deliver counterfeit or unsafe products,
  -Harm customers or the platform ecosystem.
  11.4 Upon termination:
  -You remain responsible for pending orders and dues.
  -We may withhold settlement until all disputes or refunds are resolved.
• 12. FORCE MAJEURE
  Neither party will be liable for delays caused by events beyond reasonable control, such as natural disasters, strikes, or government restrictions.
• 13. GOVERNING LAW & DISPUTE RESOLUTION
  13.1 This Agreement is governed by the laws of India.
  13.2 Any disputes will be resolved through arbitration under the Arbitration and Conciliation Act, 1996.
  13.3 The seat and venue of arbitration shall be Trivandrum, India.
• 14. MISCELLANEOUS
  -You may not transfer this Agreement without our written consent.
  -We may update these terms with prior notice.
  -If any provision is deemed invalid, remaining terms remain enforceable.
  By registering and using the Platform, you acknowledge and agree to all the terms stated in this Seller Agreement.
